Our Insolvency & Winding Up Services

  • A Hong Kong limited company (including dormant companies) may be deregistered under S291AA of the Companies Ordinance, provided the company has not commenced business, or its business has been closed for at least three months prior to the application, and the company has no outstanding liabilities
  • Where outstanding liabilities exist, deregistration may still proceed if the liabilities have been settled by a holding company, related company, director, or shareholder, or the creditors have provided written consent waiving their claims
  • Drafting of company minutes and required documents
  • Application for a Notice of No Objection for deregistration
  • Filing the deregistration application with the Companies Registry
  • Available where a company is solvent (able to settle all debts in full)
  • Requires a certificate of solvency signed by a majority of directors
  • Convening an Extraordinary General Meeting (EGM) to pass a resolution for winding up, appoint liquidators, and grant liquidators power to distribute assets (in cash or in specie)
  • Applied where a company is insolvent
  • Preparation of a statement of affairs listing all creditors and estimated claims
  • Convening an EGM to pass a special resolution for winding up and appoint liquidators
  • Convening a creditors' meeting on the same day to review the statement of affairs and appoint liquidators
  • Where different liquidators are proposed by members and creditors, the creditors' choice prevails
